The following contract is between Digital Onsignage and you (hereinafter as the "Customer”). By completing the registration process, Customer agrees to be bound by this contract when signing up for Digital Onsignage service.
 
A. Description of Service
Digital Onsignage hosts an online digital signage application service, for broadcasting signs to screens connected to the Internet. This contract defines terms and conditions for using Digital Onsignage service.
 
B. Proprietary Rights:
Digital Onsignage hereby grants Customer a non-exclusive, non-transferable application service for the sole purpose of evaluation during a free trial period. The Customer acknowledges that all Title & Rights for the software and services provided and all intellectual property associated with it is the sole property of Digital Onsignage.
 
C. Limited Liability:

1. Customer expressly agrees that use of Digital Onsignage application is at Customer’s sole risk. Neither Digital Onsignage, its employees, affiliates, agents, third-party information providers, resellers or the like, warrant that Digital Onsignage service will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the service or as to the accuracy, reliability or content of any information or service contained in or provided through Digital Onsignage, unless otherwise expressly stated in this Contract.
2. Under no circumstances, including negligence, shall Digital Onsignage, its offices, agents or any one else involved in creating, producing or distributing digital signage service be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use Digital Onsignage service; or that results from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission or any failure of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to Digital Onsignage records, programs or services. Customer hereby acknowledges that this paragraph shall apply to all content on Digital Onsignage servers.
3. Notwithstanding the above, Customer’s exclusive remedies for all damages, losses and causes of actions whether in contract or misdemeanor including negligence or otherwise, shall not exceed the aggregate dollar amount which Customer paid during the term of this Contract.
4. IN THE EVENT THAT, NOTWITHSTANDING THE TERMS OF THIS CONTRACT, Digital Onsignage IS FOUND LIABLE DAMAGES SUCH SHALL NOT EXCEED FIFTY US DOLLARS ($50).

D. Indemnification:
Customer agrees that it shall defend, indemnify and hold Digital Onsignage harmless from any and all demands, liabilities, losses, costs and claims, including attorneys’ fees, (“Liabilities”) asserted against Digital Onsignage, its agents, its customers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Customer, its agents, employees or assignees.
 
This contract represents the complete contract and understanding between Digital Onsignage and Customer and supersedes any other written or oral contract. Upon notice published on line, Digital Onsignage may modify these terms and conditions, amplify them, and/or modify the prices, as well as discontinue or change the services offered. Submission of your account order shall constitute your complete acceptance of these Terms and Conditions.
 
E. Termination
Digital Onsignage may terminate the license granted herein at any time and for any reason.
 
F. Governing Law:
This Contract shall be governed and construed in accordance with the laws of the State of Israel.
